Nel contesto nazionale, l’introduzione di un quadro disciplinare armonizzato per i gestori dei fondi alternativi, per il tramite del recepimento della Direttiva AIFM, è stata l’occasione per rivedere la disciplina della gestione collettiva del risparmio e, nel dettaglio, della gestione dei fondi di private equity e venture capital. L’allineamento della disciplina dei gestori nazionali a quella dei principali Paesi europei rappresenta un punto di svolta, rispetto al passato, contribuendo a rimuovere gli ostacoli normativi alla raccolta e all’investimento di capitali negli Stati membri dell’Unione. Allo stesso tempo, accanto alle opportunità legate al processo di armonizzazione, occorre aver contezza degli obblighi informativi e procedurali che condizionano l’operatività e la funzionalità dei gestori. Scopo di questo contributo è la puntuale analisi delle nuove disposizioni, al fine di fornire una panoramica atta a cogliere le potenzialità e le eventuali criticità che il nuovo set normativo può creare per le dinamiche competitive e per l’efficienza complessiva di questo mercato.
