Kayıt dışı ekonomi, ticaret döngüsünde yer alan fakat söz konusu ekonomik işlemlerin bildirilmemesi ve/veya tespit edilememesi sebebiyle resmi kayıtlarda ve dolayısıyla milli gelir hesaplarında yer almayan faaliyetlerden oluşmaktadır. Başta yasal düzenlemeler ve hükûmetlerin yürütmüş olduğu ekonomik politikalar, işgücü piyasasındaki ekonomik durum ve beraberinde sosyal koruma sistemleri, mükelleflerin üzerindeki vergi yükü, vergi algıları ve bu konudaki ahlâki tutumları ülkede kayıt dışına yönelimdeki etkili faktörlerdendir. Kayıt dışı ile mücadele ekonomik ve sosyal politika araçları ile yürütülecek denetimlerden ziyade kayıt dışı ekonominin toplumdaki karşılığı olan sosyal yansımaları ve kayıt dışılık kültürünün önüne geçilmesi ile mümkün olabilecektir. Bu noktada mali ve ekonomik politikaların tüm bileşenlerinin paydaşların tamamında yarattığı izlenim doğru değerlendirilmeden kayıt dışılığın bir kültür şeklinde yerleşmesine engel olunamayacaktır.
