O Contrato de Cash Pooling
A disciplina que regula as relações das sociedades submetidas a uma "direção económica unitária" apresenta-se complexa, facto que se estende ao modo como estas satisfazem as suas necessidades de financiamento. É no contexto da integração financeira dos grupos de sociedades que surgem os sistemas de gestão centralizada de tesouraria, usualmente denominados de «cash management», onde se insere o contrato de «cash pooling» e que o estudo tem por objeto. Estruturalmente, o estudo divide-se em dois núcleos, sendo o primeiro destinado à compreensão das características e dos elementos que constituem o contrato. Por sua vez, o segundo núcleo visa definir as consequências jurídicas decorrentes dos fluxos financeiros executados ao abrigo do contrato sob as perspetivas do Direito Societário e Insolvencial.
