O presente texto relativo aos administradores de facto visa, fundamentalmente, responder a duas questões que se colocam no campo da vinculação das sociedades comerciais e da responsabilidade por omissão. Os apertados requisitos exigidos para a qualificação como administrador de facto obrigam a repensar se a vinculação não poderá, ainda assim, ter lugar caso essa qualificação não seja admissível. Aqui se discute em que medida há lugar à vinculação das sociedades por um pretenso administrador. Quanto à omissão (de atuação), esta é, à partida, juridicamente irrelevante para efeitos de qualificação de determinado sujeito como administrador de facto. Contudo, uma vez qualificado, a omissão assume relevância em sede de responsabilização desse sujeito, sendo, por isso, suscetível de levar a um juízo de responsabilidade pelo abandono da gestão por parte do administrador de facto.
