The private enforcement of competition law through damages actions and/or injunctions before ordinary courts of justice is currently the preferred system in the United States. O presente estudo centra-se nos problemas fundamentais do ciclo de vida das sociedades, dialogando jurídico-normativamente com a regulação da Parte Geral do Código das Sociedades Comerciais. A esta linha condutora que vai desde a constituição da sociedade comercial e civil em forma comercial até ao encerramento da liquidação acrescenta-se, ainda, o capítulo dedicado às relações de coligação entre sociedades. Certamente que este é um tema que não é regulado na Parte Geral do Código das Sociedades e, além disso, é dotado de natureza especial ou mesmo excecional.
