Der Aktionarsausschluss ist paradigmatisch fur das mogliche Ausmass des Konflikts zwischen Mehrheits- und Minderheitsgesellschaftern. Der Umgang einer Rechtsordnung mit diesem Extremfall erlaubt Ruckschlusse auf die jeweilige Verfassung des Minderheitsschutzes. Dass der Ausschluss situationsbedingt zulassig ist, wird auch in Deutschland nicht mehr bezweifelt. Uber die Frage der Zulassigkeit hinaus wird in den USA seit geraumer Zeit intensiv diskutiert, wie die Interessen von Minderheit und Mehrheit zu einem gerechten Ausgleich gebracht werden konnen. Vor diesem Hintergrund analysiert Jakob Tybus den Schutz von Minderheitsaktionaren in den USA, indem er die Entwicklung des Schutzniveaus unter Einbeziehung des Verfassungsrechts nachzeichnet und den Status quo unter Bezugnahme auf okonomische und eigentumsrechtliche Erwagungen darstellt. Anschliessend untersucht er den Aktionarsausschluss als Anwendungsbeispiel und zieht ein Resumee zur Verfassung des Minderheitsschutzes in den USA.
