Das Wissenserfordernis im Rahmen der Ad-Hoc-Publizität gehört zu den umstrittensten Themen der europäischen Kapitalmarktinformationshaftung. Es geht um die kognitiven Anforderungen an kapitalmarktorientierte Gesellschaften (Emittenten) bei Erfüllung der Ad-Hoc-Publizitätspflicht nach Art. 17 der Marktmissbrauchsverordnung, VO 596/2014 (MAR). Gemäß Art. 17 Abs. 1 MAR haben Emittenten Insiderinformationen, die sie unmittelbar betreffen, unverzüglich zu veröffentlichen. Hierbei schweigt die Vorschrift zu der entscheidenden Frage, bei welchen Personen innerhalb des Emittenten sich eine Insiderinformation befinden muss, damit die Ad-Hoc-Publizitätspflicht entsteht. Durch Auslegung des Art. 17 MAR ermittelt der Autor, dass die Ad-Hoc-Publizitätspflicht implizit die Kenntnis des Emittenten voraussetzt. Die deshalb erforderliche Wissenszurechnung gewinnt er aus unionsrechtlichen Grundsätzen und beschränkt sie grundsätzlich auf die Führungsebene.

The risk-based approach to capital markets regulation is in crisis. Climate change, shifting demographics, geopolitical conflicts and other environmental discontinuities threaten established business models and shorten the life spans of listed companies. The current rules for periodic disclosure in the EU fail to inform market participants adequately. Unlike risks, uncertainties are unquantifiable or may only be quantified at great cost, causing them to be insufficiently reflected in periodic reports. This is unfortunate, given the pivotal role capital markets must play in the economy’s adaptation to environmental discontinuities. It is only with a reformed framework for periodic disclosure, that gradual and orderly adaptation to these discontinuities appears feasible. To ensure orderly market adaptation, a new reporting format is required: scenario analysis should be integrated into the European framework for periodic disclosure.
Die zwischenzeitlich mehrfach überarbeitete Transparenzrichtlinie soll in der EU für eine Verbesserung und Harmonisierung der Transparenz- und Informationsanforderungen sorgen. Letztmals wurde sie 2013 durch die Transparenzrichtlinie-Änderungsrichtlinie, die bis Ende November 2015 in nationales Recht zu transformieren war, angepasst. Ihre kapitalmarktrechtlichen Neuregelungen und die Transformation in deutsches Recht werden im ersten Teil des vorliegenden Buches diskutiert. Im zweiten Teil des Werkes werden Neuerungen im Insiderrecht kritisch gewürdigt. Zur Schaffung einer Europäischen Kapitalmarktunion wurden 2014 die Marktmissbrauchsverordnung und die Marktmissbrauchssanktionsrichtlinie als Marktmissbrauchsrechtsakte verabschiedet. Mit ihrem Inkrafttreten Mitte 2016 werden sie eine neue Ära des europäischen Insiderrechts einläuten. Einführend geht der Autor zuvor auf die bis Mitte 2016 geltenden Insiderregelungen des WpHG ein. Anschließend wird die jüngere Entwicklung des Insiderrechts in Rechtsprechung und Literatur betrachtet. Die neuen Regelungen des Insiderverbots und der Ad-hoc-Publizitätspflicht werden anschließend erörtert.
