L’edizione 2023 della raccolta degli Orientamenti notarili del Triveneto in materia di atti societari è aggiornata con tutti gli orientamenti, e le relative motivazioni, approvati nel 2022 e nel 2023. Nel 2022 sono stati approvati 9 orientamenti, tra i quali si segnalano quello che riconosce la natura di “atto senza parti” al verbale di assemblea e le conseguenze di tale riconoscimento nell’attività di verbalizzazione delle assemblee telematiche; quelli che ammettono la scissione inversa “estrema”, nonché quello che affronta i temi ESG (Environment, Social, Governance), ossia l’esercizio di attività economiche utilizzando modelli di business sostenibili. Nel 2023 sono state invece affrontate alcune questioni imposte dalle nuove normative entrate in vigore, sono stati quindi elaborati orientamenti sulla scissione per scorporo introdotta nel codice civile dal nuovo art. 2506.1 e sui poteri dell’assemblea dei soci in pendenza del procedimento di risoluzione della cris. Sono stati anche elaborati alcuni orientamenti sulla scissione negativa, tematica da lungo tempo dibattuta e mai risolta definitivamente.
