O presente estudo tem como escopo a problemática das fusões de sociedades como estratégia de crescimento empresarial. Partindo de uma vasta revisão da doutrina e dos preceitos que regulam estas operações, procedemos a uma análise aprofundada deste processo de concentração. Destarte, cumpre destacar que o principal foco da nossa atenção é a proteção dos credores, em particular os credores obrigacionistas, a partir da qual dissertamos sobre alguns dos principais problemas que têm surgido na conciliação das operações de fusão com a tutela daquele grupo de credores. Assim, de forma a tornar a nossa investigação mais completa, focámo-nos na análise do regime das obrigações previsto no CSC, procurando enfatizar os aspetos positivos desse regime e realçar os aspetos que merecem reponderação.
