Die Thematik der Corporate Governance ist eine vergleichbar neue Erscheinung in der deutschen Gesellschaftsrechtsdiskussion. Die Frage der richtigen Unternehmensführung und -kontrolle geht dabei zumeist auf aktuelle Fehlentwicklungen zurück. Seit 2002 soll in Deutschland ein Deutscher Corporate Governance Kodex (DCGK) sowohl bestehende Regelungslücken ausfüllen als auch die bestehende deutsche Unternehmensverfassung den ausländischen Kapitalmärkten kommunizieren. Ob der Kodex, der mittlerweile mehreren Überarbeitungen unterzogen wurde, die gesetzten Ziele tatsächlich zu erfüllen vermag, ist Untersuchungsgegenstand dieser Arbeit. Rechtsvergleichend wird dabei der britische Combined Code herangezogen, der für den DCGK eine Vorbildfunktion ausübte. Die anhand dieses ersten europäischen Corporate Governance Kodex gesammelten Erfahrungswerte können einen Eindruck vermitteln, was ein Kodex mit freiwilligen Verhaltensregeln leisten kann und wo seine natürlichen Grenzen liegen.
