Com a criação da sociedade em comum, o legislador do Código Civil de 2002 redefiniu o tratamento das sociedades sem registro, criando para elas uma disciplina inteiramente societária, desapegada da comunhão, em que elementos tradicionais da disciplina das "sociedades de fato" e "irregulares" foram combinados com outros mais atuais. Apesar dos esforços para conceber um novo tipo societário, tecnicamente mais bem acabado, posicionamentos consideravelmente distintos continuaram surgindo, na doutrina e na jurisprudência, dando origem a controvérsias interpretativas. Neste estudo, as características de funcionamento da sociedade em comum são expostas, oferecendo-se as interpretações consideradas mais adequadas em relação aos problemas que se apresentam desde a sua constituição até a sua extinção.
