The Ultra Vires Doctrine in Corporate Law

  • Categories: Law

This book offers a comparative review of the ultra vires doctrine in corporate law. Divided into three main sections, it first provides a brief overview of the historical background and the scope of the ultra vires doctrine. It then analyses the essential features of the doctrine in the common law and civil law traditions across the Western world. Lastly, the book examines the objects clause, procedural aspects, and the mechanism of ratification of such ultra vires acts. The book's comparative approach and global contextualization of the subject matter will be of interest to readers from around the globe, familiarizing them with legal provisions, case law, and recent literature. Although it is primarily intended for scholars in the area of corporate law, it is also a valuable resource for professionals in the field of commercial law who deal with issues related to the capacity of firms and the powers of their directors.

Hyperborder

Roving vigilantes, fear-mongering politicians, hysterical pundits, and the looming shadow of a seven hundred-mile-long fence: the US–Mexican border is one of the most complex and dynamic areas on the planet today. Hyperborder provides the most nuanced portrait yet of this dynamic region. Author Fernando Romero presents a multidisciplinary perspective informed by interviews with numerous academics, researchers, and organizations. Provocatively designed in the style of other kinetic large-scale studies like Rem Koolhaas's Content and Bruce Mau’s Massive Change, Hyperborder is an exhaustively researched report from the front lines of the border debate.

Balance y desafíos del estado regulador, supervisor, promotor y empresario. Tomo III

Urban Policy in the Framework of the 2030 Agenda

The book provides comparative information about the materialization of the 2030 Agenda in urban policy in ten countries located in Europe and Latin America. The Declaration of Quito is the starting point for the implementation of SDGs into public policies in urban areas. However, there are fewer efforts to understand the impact that the 2030 Agenda and, specifically, the instruments developed for its application in cities. The information of each country is presented in relation to two aspects: the construction of a public policy style in each country and the results and impacts on urban public policies implemented in specific cities within the national frameworks. The first means the emerge...

Telling the affecting stories of eighty gay, bisexual, and transgender (GBT) Latino activists and volunteers living in Chicago and San Francisco, Compañeros: Latino Activists in the Face of AIDS closely details how these individuals have been touched or transformed by the AIDS epidemic. Weaving together activists' responses to oppression and stigma, their encounters with AIDS, and their experiences as GBTs and Latinos in North America and Latin America, Jesus Ramirez-Valles explores the intersection of civic involvement with ethnic and sexual identity. Even as activists battle multiple sources of oppression, they are able to restore their sense of family connection and self-esteem through the creation of an alternative space in which community members find value in their relationships with one another. In demonstrating the transformative effects of a nurturing community environment for GBT Latinos affected by the AIDS epidemic, Ramirez-Valles illustrates that members find support in one another, as compañeros, in their struggles with homophobia, gender discrimination, racism, poverty, and forced migration.
