We rely on transaction cost economics and the contingency stream of organization theory to answer two related questions. First, when contracting for complex services, do governments design contracts for flexibility? Second, is the contingency perspective relevant to understanding contract design? Examining 130 professional service contracts awarded by state government agencies in the US, we find that task complexity and task unpredictability, two dimensions of task uncertainty increase the probability of flexible governance. This research highlights for managers the important fact that the potential for opportunism and task complexity are different sources of uncertainty that pose different challenges and call for different governance solutions. The study enriches our understanding of transaction costs by probing the conditions under which task uncertainty matters most (and least) and further shows the utility of integrating transaction cost economics with contingency theory to better understand contract governance.

Employing a resource-dependence theoretical framework, we analyze a set of recently awarded contracts between the Environmental Protection Agency and various suppliers to determine how joint dependence, supplier dependence, and government dependence affect contract design, and specifically the decision to use a cost-plus (flexible) contract. Findings provide evidence that organizations choose contract designs that will reduce uncertainty related to securing critical resources. However, different dimensions of dependence have different effects: (1) higher levels of joint dependence lead to more flexible governance forms; (2) the lack of alternative suppliers is a more important factor than high levels of financial dependence; and (3) the parties involved in government procurement are likely to perceive government as a unique type of organization, which in turn has implications for contract design choices. We conclude with managerial strategies for restructuring power-dependence relationships to achieve the contract design most likely to yield a surplus in the exchange.

This study compares the effectiveness of two different approaches to the delivery of human services-direct government and a collaboration between government and a nonprofit provider using a point of service contract. A work release program in Illinois provides the study context. We apply multiple econometric techniques for analysis to address nonrandom assignment of program participants, including: regression with fixed-effects; and propensity score matching. Labor market outcomes for the collaborative approach were significantly better than outcomes associated with direct government. Our discussion and results add to several literatures: policy tools; policy implementation; collaborations; point of service contracts; work release programs; and sector differences.
