On September 21, 2011, the French Competition Authority (the "Autorité de la concurrence") issued a landmark decision involving the pay-TV industry ordering, for the first time the de-merger of a cleared merger for non-compliance with the commitments subscribed by the acquirer in 2006. Focusing on the unprecedented nature of this case, our paper aims to (i) present the risks of anticompetitive practices underlined by the Minister in charge of the economy in its 2006 clearance decision, (ii) examine the relevancy of remedies intended to alleviate those risks, (iii) analyze the breach of the commitments, (iv) highlight the difficulty of monitoring behavioral commitment, and finally (v) carry out a prospective analysis of what could happen afterwards.
