Das Rücktrittsrecht
Gemäss Art. 97 Abs. 1 OR kann die Gläubigerin bei Nichterfüllung und nicht gehöriger Erfüllung eines Vertrages lediglich Schadenersatz verlangen. Im Falle eines Schuldnerverzugs nach Art. 107 Abs. 2 OR kann die Gläubigerin jedoch zusätzlich vom Vertrag zurücktreten. Diese je nach Ursache unterschiedlichen Leistungsstörungsfolgen resultieren in einer Besserstellung der Gläubigerin beim Schuldnerverzug. Die herrschende Lehre und seit dem Urteil 4A_101/2015 vom 21. Juli 2015 auch das Bundesgericht, beurteilen das Fehlen eines Rücktrittsrechts in den Anwendungsfällen von Art. 97 Abs. 1 OR richtigerweise als planwidrige Unvollständigkeit des Gesetzes, welche behoben werden muss. In der vorliegenden Dissertation werden die aktuelle Rechtslage zum Rücktrittsrecht und die entsprechende Lücke im OR detailliert dargestellt. Vor diesem Hintergrund erfolgt eine anschauliche Erörterung der verschiedenen Lösungsansätze (insbes. die Anwendbarkeit einer Einzel- und Gesamtanalogie) sowie der Voraussetzungen eines Rücktrittsrechts in den Anwendungsfällen von Art. 97 Abs. 1 OR.
